How to Start a Nonprofit in Illinois?

You must complete the following registration procedures, in order to start a nonprofit in the state of Illinois.

Registration with the Office of the Secretary of State

To register your nonprofit, the state of Illinois requires you to register the Name of the organization and submit a Nonprofit corporation

Typically, this submission must include the following information:

  • Details of the registered agent, i.e., Name, Address, city, and ZIP code.
  • Details of the Board Directors.
  • Names & Addresses of incorporators.

In addition to these details, you must pay the incorporation filing fee of $50.

Registration with the Illinois Attorney General’s Office

  • The Illinois law requires charitable organizations to complete (Form CO-1) and pay a registration fee of $15.
  • Also, organizations that have been in operation for less than a year must file Form CO-2 along with the Form CO-1.

How to Obtain Tax-Exempt Status from the State of Illinois?

In addition to the federal tax exemption, nonprofits can obtain exemption from Illinois state and property taxes.

  • To apply for sales tax exemption, the organization must file STAX-1, Application for Sales Tax Exemption or apply for exemption at https://mytax.illinois.gov/_/.
  • To apply for property tax exemption, the organization must file one of the following forms with the required attachments, whichever is applicable.
  • Form PTAX-300 - Applicable for Educational and governmental organizations.
  • Form PTAX-300-FS - Applicable for Federal and state agencies.
  • Form PTAX-300-R - Applicable for Religious organizations.

What are the Illinois Annual Filing Requirements for Nonprofits?

As per Illinois state law, charitable organizations are required to complete their annual renewal to remain tax-compliant.

  • The organization has to submit its annual information to the State of Illinois by filing Form AG990-IL along with copies of its federal Form 990 or 990-EZ or 990-PF.
  • The soliciting organizations must pay a filing fee of $15 , if their gross receipts > $15,000 (or) assets > $25,000. Similarly, Trust Organizations registered under the Charitable Trust Act must pay a filing fee of $25, if gross receipts > $25,000.
  • Furthermore, if the nonprofit has an unrelated business income of $1000 or more, they must submit Form IL-990-T along with a copy of federal
    Form 990-T.

When is the deadline for Charitable Organization to file Form AG990-IL and Form IL-990-T?

Form AG990-IL:

The due date for the charitable registration is within six months after the end of the organization’s accounting period.

Form IL-990-T:

The deadline for filing Form IL-990-T is on or before 15th day of the 5th month following the end of the organization’s tax year.

Are there any penalties for non filing?

If your organization fails to file the required forms on time, a penalty of $250 or 2% of the tax amount will be imposed. In case of not filing a return within 30 days after receiving the notice of non-filing, an additional penalty will be imposed, whichever is greater of $250 or $2 of the tax owed.
